We are looking for an experienced Legal Specialist to provide internal legal support across commercial contracts, regulatory compliance, legal risk management, and corporate governance, while supporting the company's business growth and minimizing legal exposure.

Key Accountabilities
- Review, draft, and negotiate customer contracts, framework agreements, vendor agreements, distributor and reseller agreements, NDAs, partnership agreements, service and implementation contracts, and government procurement contracts.
- Review key contractual provisions including liability limitations, indemnities, payment terms, intellectual property, termination rights, exclusivity, and non-circumvention clauses.
- Assess legal risks related to project delivery, SLA obligations, penalties, liquidated damages, vendor pass-through obligations, and implementation requirements.
- Prepare written legal risk assessments for major and high-value contracts.
- Develop and maintain standard contract templates, clause libraries, and contract approval workflows.
- Ensure proper contract documentation, version control, approval, and archiving.
- Provide legal support to the CEO, CFO, and CTO in negotiations, dispute resolution, settlement agreements, and high-value commercial transactions.
- Advise management on commercial risk structuring and partner negotiations.
- Support compliance with Saudi Companies Law, Personal Data Protection Law (PDPL), National Cybersecurity Authority (NCA) requirements, government procurement regulations, and anti-corruption and anti-bribery regulations.
- Coordinate with external law firms on litigation, arbitration, regulatory matters, and other legal issues.
- Act as the internal point of contact for external legal counsel and manage legal matters before escalation.
Knowledge, Skills, and Experience
- Bachelor’s degree in Law (LLB)
- 5–8 years of experience in commercial legal practice.
- Experience in one or more of the following sectors is preferred: Information Technology, Telecommunications, System Integration, Consulting, or Technology Distribution.
- Strong experience in commercial contracts, vendor and service agreements, contract drafting, contract negotiation, and corporate legal advisory.
- Strong knowledge of Saudi Companies Law, PDPL, NCA requirements, and government procurement regulations.
- Strong understanding of contract law, commercial agreements, liability structures, indemnity provisions, and intellectual property clauses.
- Excellent analytical, negotiation, communication, and problem-solving skills.
- Ability to communicate legal risks clearly to non-legal stakeholders, including senior management, Finance, Sales, and Technology teams.
- Full professional proficiency in English Language.
